Terms and Conditions

 

All descriptions, data and illustrations contained within this website are intended to present a general idea of the products available and nothing contained in this website shall form part of any contract between Louth Transformer Company Limited and the customer, and shall not be under liability for damage, loss or expense resulting from the giving of incorrect advice or information. We will endeavour to give the best advice but the customer should satisfy himself that the goods offered are fit for the purpose. All electrical ratings represent safe working limits. Dimensions are subject to commercial tolerances.

1) It is hereby agreed that the following conditions shall be deemed to be incorporated into all contracts entered into by Louth Transformer Company Limited with the customer.

2) In these conditions 'The Goods' means any goods which are the subject of a contract between Louth Transformer Company Limited and the customer.

3) The risk in any goods shall pass to the customer on delivery thereof.

4) PASSING OF TITLE
A) The ownership of the goods shall remain with Louth Transformer Company Limited, who reserve the right to dispose of the goods until payment in full for all of the goods has been received by it in accordance with the terms of these conditions or until such time as the customer sells the goods to its own customers by way of bona-fide sales at full market value.

B) If such payment is overdue in whole or in part, Louth Transformer Company Limited may (without prejudice to any of its other rights) recover or resell the goods or any of them and may enter upon the customer's premises by its servants or agents for that purpose.

C) Such payments shall become due immediately upon the commencement of any act or proceeding in which the customer's solvency is involved.

D If any of the goods is incorporated in or used as material for other goods before such payment the property in the whole or such other goods shall be and remain with Louth Transformer Company Limited until such payment has been made, or the other goods have been sold aforesaid, and all the rights of Louth Transformer Company Limited hereunder in the goods shall extend to those other goods.

E) Until Louth Transformer Company Limited is paid in full for all of the goods, the relationship of the customer to Louth Transformer Company Limited shall be fiduciary in respect of the goods or other goods in which they are incorporated or used and if the same are sold by the customer Louth Transformer company Limited shall have the right to trace the proceeds thereof according to the principles in re Hallet's Estate (1880) 13 CH D 696, (1874-80) ALL ER REP 793. A like right for Louth Transformer Company Limited shall apply where the customer uses the goods in any way so as to be entitled to payment form a third party.

5) OVERDUE PAYMENTS AND CANCELLATION
a) The price payable for the goods shall be net and payments shall be made on or before the last day of the month following the month of invoice date.

b) Louth Transformer Company Limited shall be entitled to suspend or cancel deliveries under any contract between the parties hereto if any payment is overdue.

c) For the purpose of this condition, time shall be of the essence of any contract governed by these conditions.

d) The customer shall not be entitled to withhold or set-off payment for any goods delivered for any reason whatsoever.

CARRIAGE     All prices quoted are exclusive of carriage and VAT, unless otherwise stated in writing by Louth Transformer Company Limited.

AMENDMENTS     Call off orders are accepted on the condition that any amendment is notified to us in writing 4 weeks before change is to be effected. We reserve the right to despatch and invoice any goods to which time, expense or materials have been committed. We also reserve the right to stop manufacture of any order without penalty if the account is overdue for payment.

DELIVERY     Louth Transformer Company Limited will endevour to meet any requested or estimated despatch dates but cannot be held responsible for any reasonable delay. Any special, or fast delivery instructions will be subject to extra charge.

HEALTH AND SAFETY     Customers should satisfy themselves that the goods delivered are to the specification ordered and fit for the purpose required. Transformers should be installed by qualified personnel.

COPYRIGHTS     Reproduction in part or whole of this website without prior consent is prohibited.

GOODS ORDERED IN ERROR     Stock items may normally be returned if ordered in error or not wanted, providing the following conditions apply:

a) Louth Transformer Co Ltd must be notified in writing within 7 working days of invoice date of customer's intention to return the goods
a) Goods are returned within 30 days of invoice date.
b) They are unused and in good, undamaged condition.
c) They are returned to us adequatley
adequately packed at the customer's expense.
d) The customer's original order number is quoted.

If the above procedure is adopted, Louth Transformer Co Ltd will refund the original invoice value including outward carriage charges. Return carriage charges are at the customer's expense.

Items not normally held in stock, i.e. manufactured to specification, may not be returned unless agreed to in writing by Louth Transformer company Limited.
